TreeTalk Node — End User License Agreement (EULA)

Version 1.1 — Last Updated: June 22, 2026

IMPORTANT — PLEASE READ CAREFULLY: This End User License Agreement ("Agreement") is a legally binding contract between you (an individual or a legal entity, "User", "You") and TreeTalk ("TreeTalk", "We", "Us", "Licensor") governing your use of TreeTalk Node ("Software").

By downloading, installing, copying, accessing, or using the Software in any way, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement and the TreeTalk Privacy Policy, incorporated herein by reference. If you do not agree to all of the terms of this Agreement, do not download, install, or use the Software.

If you are accepting this Agreement on behalf of an organization or legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.


1. Software Editions and License Grant

The Software is distributed in the following editions, all covered by this single Agreement. The edition applicable to you depends on the activation state of your installation:

  • Free Edition: no license key; core features only, subject to the Free tier limitations published at tree-talk.com.
  • Free Edition with Premium Trial: no license key; full Premium features enabled for a limited trial period (currently 14 days) after which the installation reverts to Free Edition restrictions unless a paid license key is activated.
  • Premium Edition: activated with a paid subscription license key.
  • Premium Offline Edition: activated with a paid perpetual license key; designed for air-gapped or internet-restricted environments.
  • Enterprise Edition: activated with a paid perpetual or volume license key; includes batch licensing and mass-deployment rights as agreed with TreeTalk.

1.1 Free and Trial License

Subject to the terms of this Agreement, TreeTalk grants you a revocable, non-exclusive, non-transferable, limited license to:

  • Install and use the Free Edition on any number of personal or company-owned Windows PCs.
  • Use Premium features during the trial period, after which those features will be restricted unless you activate a paid license.
  • Distribute the original, unmodified installer package, provided that: (a) no fee is charged for the distribution itself; (b) no modifications of any kind are made to the installer or the Software; (c) TreeTalk's name, trademarks, or logos are not used in a manner that implies endorsement, affiliation, or partnership without prior written consent from TreeTalk.

You may not:

  • Modify, translate, reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
  • Circumvent, disable, or interfere with any technical limitation, license enforcement mechanism, or security feature of the Software.
  • Use TreeTalk trademarks, logos, or trade names without prior written consent.
  • Represent that the Software is your own product or remove any proprietary notices.

Freemium conditions: By using the Free or Free Trial edition, you acknowledge and agree that your use, or use of certain features, may be subject to additional conditions, including optional registration with an email address, receipt of product-related communications (subject to applicable law and your consent where required), participation in optional surveys or beta programs, and display of in-product promotional messages about paid features. By installing the Free Edition, you explicitly acknowledge and agree that the Software is ad-supported. In exchange for granting you the right to use the Free features without monetary charge, Licensor may serve advertisements within the application interface. For this purpose, the Software may utilize third-party advertising networks to deliver ad units. TreeTalk does not control, review, pre-screen, or endorse the content of these third-party advertisements. TreeTalk explicitly disclaims any liability for damages, misleading claims, or malware originating from third-party advertising creatives. You agree not to block, obscure, modify, or interfere with any advertisements displayed within the Software UI. Any attempt to alter, script, or block ad delivery mechanisms shall be considered a material breach of this Agreement and will result in the immediate termination of your license.

1.2 Paid License (Premium, Premium Offline, Enterprise)

Subject to payment of the applicable license fee and the terms of this Agreement, TreeTalk grants you a revocable, non-exclusive, non-transferable license to install and activate the Software on one (1) specific PC per license key, unless your Enterprise agreement expressly provides otherwise.

Hardware Fingerprinting: Upon activation, the Software generates a non-reversible hardware fingerprint and associates it with your license key on TreeTalk's or its designated licensing service's servers. This is a technical measure to enforce single-PC licensing. License keys must not be published, shared, sold, rented, or sublicensed. A legitimate repair, operating-system reinstallation, replacement, or material hardware change may require reactivation. TreeTalk may request reasonable evidence of the change and may deactivate the former device before authorizing the replacement.

You may not:

  • Share, resell, transfer, rent, lease, or sublicense the Software or any license key to any third party.
  • Use the same license key on more than one PC simultaneously or sequentially, except as permitted by a written upgrade or transfer policy published by TreeTalk.
  • Use a license key on a PC whose hardware fingerprint has changed to the extent that the Software no longer recognizes the original activation (e.g., following replacement of core hardware components); in such cases, you must contact TreeTalk support for reactivation assistance, subject to TreeTalk's then-current reactivation policy.
  • Attempt to defeat, bypass, replicate, or reverse-engineer the hardware fingerprinting or activation system.
  • Modify, reverse-engineer, decompile, or disassemble the Software.

Enterprise multi-seat and batch licensing is governed by the specific terms agreed in writing with TreeTalk at the time of purchase, which supplement and, where inconsistent, supersede Section 1.2.

Activation may generate a one-way device identifier derived from hardware or operating-system characteristics. Activation information is processed as described in the Privacy Policy.

License keys must not be published, shared, sold, rented, or sublicensed. A legitimate repair, operating-system reinstallation, replacement, or material hardware change may require reactivation. TreeTalk may request reasonable evidence of the change and may deactivate the former device before authorizing the replacement.


2. Trial Period

The Software may include a time-limited trial of Premium features. The trial begins on the date of first launch of the Software on a given device. No credit card or registration is required to start the trial. At the end of the trial period, the Software automatically reverts to Free Edition restrictions. TreeTalk does not guarantee that the trial period, trial features, or their scope will remain unchanged in future releases.


3. Security Defaults and User Responsibility for Encryption

IMPORTANT NOTICE REGARDING DEFAULT SECURITY SETTINGS:

On first launch, the Software automatically configures default settings to allow immediate use, including a default encryption and a default folder for received files. These defaults are intended solely as a convenience for initial evaluation.

These default settings are public knowledge, are not unique to your installation, and MUST NOT be considered secure or suitable for protecting confidential, personal, or regulated data.

You are strongly urged to:

  1. Replace the default passphrase with a strong, unique passphrase of your own choosing before transmitting any file or message you wish to protect.
  2. Configure a dedicated, access-controlled folder for receiving files, separate from the default location, before receiving any sensitive content.

Before transmitting sensitive information, You should:

  • replace every default or shared passphrase with a strong, unique passphrase;
  • communicate the passphrase through a separate trusted channel;
  • verify that encryption is enabled and consistently configured on all participating devices;
  • select a dedicated receiving folder with appropriate operating-system access controls;
  • avoid public or untrusted networks unless protected by an appropriately configured VPN;
  • verify peer identities and intended recipients; and
  • apply appropriate malware protection, backups, retention rules, and organizational security controls.

TreeTalk cannot recover forgotten end-to-end encryption passphrases unless the Software expressly provides a recovery mechanism. TreeTalk does not guarantee that encryption protects data on a compromised endpoint, after decryption, or where a passphrase is weak, reused, disclosed, or left at its default value.

TreeTalk expressly disclaims all liability for any loss, disclosure, breach, or damage arising from your failure to replace default security settings. Security is the User's responsibility. The Software's encryption features are tools; their effectiveness depends entirely on the strength and secrecy of the passphrase and access controls you configure and maintain.


4. Ownership and Intellectual Property

The Software is licensed, not sold. This Agreement does not transfer any ownership interest in the Software to you. All rights, title, and interest in and to the Software, including all source code, object code, algorithms, interfaces, documentation, visual design, trademarks, trade names, and all intellectual property rights therein, remain exclusively with TreeTalk and its licensors. You acquire no rights in the Software other than the limited license expressly granted in this Agreement.


5. Restrictions

In addition to the restrictions set out in Section 1, you agree not to:

  • Use the Software in violation of any applicable local, national, or international law or regulation, including but not limited to export control laws and data protection regulations (GDPR, HIPAA, NIS2, and equivalents).
  • Use the Software to transmit, store, or process content that is unlawful, harmful, defamatory, infringing, or otherwise objectionable.
  • Use the Software to provide hosting, managed services, or bureau services to third parties (i.e., operating the Software as a service for others) without TreeTalk's prior written approval.
  • Create derivative works based on the Software.
  • Remove, alter, obscure, or circumvent any proprietary notices, copyright legends, labels, or marks in or on the Software.
  • Use automated means to access, scrape, or reverse-engineer any component of the Software or its licensing infrastructure.

6. Privacy and Data Handling

TreeTalk Node is designed to operate primarily within local networks (LAN, WiFi, or user-configured VPN networks). Under normal operation:

  • File content and chat messages are not transmitted to TreeTalk servers.
  • Metadata (such as license key, hardware fingerprint, version information, and anonymized diagnostic data) may be transmitted to TreeTalk or its service providers solely for the purposes of license activation, validation, software updates, and aggregate diagnostics.
  • Premium Offline Edition is designed to minimize or eliminate internet-based data transmission after initial activation, as described in the product documentation.

For Enterprise customers, a separate Privacy Addendum may govern data handling obligations in regulated environments. The full TreeTalk Privacy Policy, available at tree-talk.com, is incorporated into this Agreement by reference and governs all personal data processing.

You are solely responsible for ensuring that your use of the Software complies with applicable data protection laws, including obtaining any necessary consents from individuals whose data may be transmitted using the Software.

You control the files, messages, passphrases, destinations, peers, networks, and folders used with the Software. You are responsible for having authority to transmit and process that content and for complying with privacy, confidentiality, employment, export-control, intellectual-property, and sector-specific requirements.

Files received from another device may contain malicious or unwanted content. You should verify the sender, maintain current endpoint protection, inspect files before opening them, restrict access to the receiving folder, and maintain appropriate backups.

TreeTalk does not monitor or approve user content and is not responsible for content transmitted by Users.


7. Updates and Support

TreeTalk may provide updates, patches, and enhancements. Updates may be delivered automatically (where an internet connection is present and the Software is configured to check for updates) or made available for manual download. TreeTalk may issue critical updates or security patches. You are responsible for installing these updates promptly. TreeTalk is released from all liability, security vulnerabilities, or compatibility issues resulting from your failure to install mandatory updates.

  • Mandatory security updates: Updates explicitly designated as mandatory security or critical bug-fix releases must be installed promptly. TreeTalk expressly disclaims all liability for damages, data loss, security incidents, or regulatory non-compliance arising from your continued use of a version of the Software for which a mandatory update has been issued and not installed.
  • Support entitlements by edition:
    • Free Edition: access to the online knowledge base, troubleshooting documentation, and community forums.
    • Premium and Premium Offline Editions: the above, plus direct email and ticket-based technical support for the duration of the active license or support period.
    • Enterprise Edition: as specified in the Enterprise agreement.
  • TreeTalk does not warrant that updates will be provided for any particular period of time or that any specific feature will be available in future versions.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. TREETALK DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT DEFECTS WILL BE CORRECTED.

IN PARTICULAR, TREETALK MAKES NO WARRANTY THAT THE SOFTWARE'S ENCRYPTION OR SECURITY FEATURES WILL PREVENT UNAUTHORIZED ACCESS, INTERCEPTION, OR DISCLOSURE OF DATA, ESPECIALLY WHERE DEFAULT SETTINGS HAVE NOT BEEN REPLACED AS DESCRIBED IN SECTION 3.

Some jurisdictions do not allow the exclusion of implied warranties; in such cases the above exclusions apply to the maximum extent permitted by applicable law.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) TreeTalk, its directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including but not limited to loss of data, loss of profits, loss of revenue, loss of goodwill, business interruption, or cost of substitute goods or services, arising out of or related to this Agreement or your use of or inability to use the Software, even if TreeTalk has been advised of the possibility of such damages.

(b) TreeTalk's total aggregate liability to you for all claims arising under or related to this Agreement, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of: (i) the total license fees actually paid by you to TreeTalk in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) USD $10.00 (ten US dollars) for users of the Free Edition who have paid no fees.

(c) The limitations in this Section 9 are an essential basis of the bargain between you and TreeTalk. TreeTalk would not have provided the Software to you without these limitations.


10. Indemnification

You agree to defend, indemnify, and hold harmless TreeTalk and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Software in violation of this Agreement; (b) your violation of any applicable law or regulation; (c) any data or content you transmit using the Software; or (d) your failure to configure adequate security settings as described in Section 3.


11. Export Control

The Software, including its encryption components, may be subject to export control laws and regulations of Italy, the European Union, the United States, and other jurisdictions. You agree not to export, re-export, transfer, or make available the Software in violation of any applicable export control laws. By using the Software, you represent that you are not located in, under the control of, or a national or resident of any country subject to applicable export restrictions. You warrant that you are not located in a sanctioned destination and will comply with all local data privacy regulations (such as GDPR or HIPAA) regarding the files you transfer.


12. Termination

This Agreement is effective from the date you first download, install, or use the Software and continues until terminated.

  • Termination by TreeTalk: TreeTalk may terminate this Agreement immediately upon notice if you breach any provision of this Agreement. TreeTalk may also terminate or suspend the Free Edition at any time with reasonable notice.
  • Termination by You: You may terminate this Agreement at any time by uninstalling all copies of the Software and destroying all related materials in your possession.
  • Effect of termination: Upon termination for any reason, the licenses granted herein immediately cease. You must uninstall and destroy all copies of the Software. Sections 3 (Security Defaults — disclaimer portion), 4, 8, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Italy, without regard to its conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall first be subject to good-faith negotiation between the parties for a period of 30 days following written notice of the dispute. If not resolved, the dispute shall be submitted to the exclusive jurisdiction of the courts of Rome.

Nothing in this Section prevents either party from seeking emergency injunctive or interim relief from a court of competent jurisdiction to prevent irreparable harm.


14. General Provisions

  • Entire Agreement: This Agreement, together with the Privacy Policy and any applicable Enterprise agreement, constitutes the entire agreement between you and TreeTalk with respect to the Software and supersedes all prior or contemporaneous communications, representations, or agreements.
  • Amendments: TreeTalk reserves the right to update this Agreement at any time. Material changes will be communicated through the Software, the website, or by email (where you have provided one). Continued use of the Software after the effective date of a revised Agreement constitutes your acceptance of the changes.
  • Severability: If any provision of this Agreement is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
  • No Waiver: TreeTalk's failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision in the future.
  • Assignment: You may not assign or transfer this Agreement or any rights hereunder without TreeTalk's prior written consent. TreeTalk may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.
  • Language: This Agreement may be translated into other languages for convenience. In the event of any inconsistency, the English version shall prevail.

TreeTalk Node is not malware. It does not modify system files and does not require administrator access.

  • Traffic stays inside your LAN unless you configure otherwise.
  • You can enable encryption in Settings.
